Dear Sirs,

Pursuant to the Decision of the District Court for Krakow-Śródmieście, 8th

Commercial Division for Bankruptcy and Restructuring of 22 February 2016, a fast-track arrangement proceeding was opened for Stalbud Tarnów sp. z o. o. with its seat in Mikołajowice (hereinafter: the “Company”). Zimmerman Filipiak Restrukturyzacja S.A. was appointed the court-appointed supervisor for the proceeding. Barbara Fela, District Court Judge holds the position of the judge-commissioner. The case was assigned the file No. VIII GRp 1/16.

The opening of the restructuring proceeding does not adversely affect the operations of Stalbud Tarnów sp. z o.o. The Company conducts business activity, performs concluded contracts and may enter into new contracts, as it did before. The fundamental change is about the protection of the Company against execution proceedings (a prohibition against initiating execution against Stalbud Tarnów sp. z o.o.) the fact that any debts which originated before 22 February 2016 will be restructured in line with the principles set forth in the arrangement proposals (the arrangement proposals will be served on each creditor at the address of the creditor’s registered office in the next few weeks). The court-appointed supervisor supervises compliance with the law and the current operations of Stalbud Tarnów sp. z o.o. Without the consent of the court-appointed supervisor, the Company may not perform any actions which go beyond the so-called ordinary management.

Information on the decision to discontinue the proceeding for PPU Stalbudu becoming final

Dear Sirs,

The Decision of the District Court for Krakow-Śródmieście, 8th

Commercial Division for Bankruptcy and Restructuring of 29 July 2016, to discontinue the fast-track arrangement proceeding for Stalbud Tarnów sp. z o. o. with its seat in Mikołajowice (hereinafter: the “Company”) became final. It means that the above proceeding will not be continued.

We also kindly inform you that, pursuant to the decision of 20 September 2016 (case file No.: VIII GU 320/16) the District Court for Krakow-Śródmieście in Krakow, 8th Commercial Division for Bankruptcy and Restructuring declared the Company bankrupt. Barbara Fela was appointed Judge-Commissioner and Zbigniew Typrowicz was appointed receiver (receiver license No. 480, address: Biuro Syndyka, ul. Turniejowa 73F/50, 30-619 Kraków; Tel.: 503 169 678). The bankruptcy proceeding became thereby the only relevant proceeding, in the course of which the creditors of the Company may pursue their claims by submitting their claims. This note also applies to creditors which were included in the record of claims prepared by the administrator in the course of the Company’s restructuring proceeding.

The declaration of bankruptcy of the Company was announced in Monitor Sądowy i Gospodarczy on 07 October 2016. As of that date, the creditors have 30 to submit their claims, which should be submitted to the Judge-Commissioner in two copies (the claim submission form is available at: https://ms.gov.pl/pl/restrukturyzacja-i-upadlosc/wzory- stosowane-w-postepowaniu-upadlosciowym/

Information on the discontinuation of the fast-track arrangement proceeding of Stalbud Tarnów sp. z o.o. w restrukturyzacji with its seat in Mikołajowice (VIII GRp 1/16)

Dear Sirs,

Pursuant to the District Court for Krakow-Śródmieście in Krakow, 8th Commercial Division for Bankruptcy and Restructuring, on 29 July 2016, the fast-track arrangement proceeding for Stalbud Tarnów sp. z o. o. w restrukturyzacji with its seat in Mikołajowice (hereinafter: the “Company), opened by the decision of the above-mentioned Court of 22 February 2016 and conducted under the case file No. VIII GRp 1/16, was discontinued. The reason for rendering the decision was the forced end of cooperation between the Company and one of its contracting parties, which resulted in the lack of any opportunities to obtain funding necessary to perform the arrangement which was to be concluded with the creditors.

The information on the discontinuation of the proceeding was published in Monitor Sądowy i Gospodarczy on 26 August 2016. The two-week deadline for filing an appeal against the decision of 29 July 2016 by way of a complaint started as of that date. Therefore, the decision of 29 July 2016 is final as at this day.

You will be notified of the decision on discontinuation of the Company’s restructuring proceeding becoming final in subsequent messages.

Information of the court-appointed supervisor on the submission by the debtor of an application for discontinuing the fast-track arrangement proceeding

Dear Sirs,

We inform you that on 8 June 2016, Stalbud Tarnów sp. z o.o. w restrukturyzacji with its seat Mikołajowice filed an application for discontinuation of the fast-track arrangement proceeding opened on 22February 2016 under the decision of the District Court for Krakow-Śródmieście in Krakow, 8th Commercial Division for Bankruptcy and Restructuring. The reason for filing the application was the forced end of cooperation between the Company and one of its contracting parties, which resulted in the lack of any opportunities to obtain funding necessary to perform the arrangement which was to be concluded with the creditors.

On 10 June, the court-appointed supervisor submitted a written statement in the case file, where it supported the above-mentioned application of the debtor.

A decision of the court regarding the discontinuation of the fast-track arrangement proceeding of Stalbud Tarnów sp. z o.o. w restrukturyzacji with its seat in Mikołajowice is expected to be rendered in the next few weeks.

Submission of key documents by the court-appointed supervisor in the proceeding

On 7 March 2016, the court-appointed supervisor filed the following documents in the file of the restructuring proceeding:

a)    Record of claims,

b)    Record of disputed claims,

c)     Restructuring scheme.

d)    Restructuring proposals.

At a further stage of the proceeding, the creditors will be notified by the court of the date of the Creditors’ Meeting in order to vote on the arrangement (the date has not been set yet). The court-appointed supervisor informs you that it is not necessary to appear at the Creditors’ Meeting in the court in person, as you can cast your vote on the arrangement in writing on the specially prepared form. A ballot paper with the arrangement proposals will be served on the creditors by traditional mail or via e-mail (provided that the creditor’s e-mail address is known) within the next few weeks.
